# AI-LABA Platform Terms of Service

1. Scope of Agreement and Acceptance

1.1 Agreement Parties

These Terms of Service (hereinafter referred to as "these Terms") are entered into between Shanghai Laba Information Technology Co., Ltd. (hereinafter referred to as "the Platform" or "we") and you (hereinafter referred to as "the User" or "you").

Note on Product Name and Operating Entity: The operating entity referred to in these Terms (i.e., "we" under these Terms) is Shanghai Laba Information Technology Co., Ltd., which belongs to the Weichaishi (微差事) group together with the "AI·LABA" product brand. The developer information "Weichaishi Information Technology Company" displayed on third-party app distribution platforms such as the HUAWEI AppGallery refers to a related legal entity within the Weichaishi (微差事) group to which the platform's operating entity belongs. It and "Shanghai Laba Information Technology Co., Ltd." referenced in these Terms are distinct legal entities under the common control of the same group, and together provide product, technology, and operational support for the platform. If you have any questions about the operating entity or the affiliated relationship, you may contact us through the in-platform "Me — Customer Service & Help" channel for verification.

1.2 Applicable Users

These Terms apply to all users who register, log in, or use the AI-LABA platform services, including but not limited to:
- Requesters: Enterprises/organizations/individuals who post tasks, recruitments, or projects
- Performers: Individuals/flexible workers who undertake and complete tasks
- Operators/Agents: Service providers who undertake projects, organize teams, and execute deliveries
- Referrers: Users who earn incentives through referrals
- Ecosystem Partners: Third-party service providers integrated into the platform (payment, KYC, insurance, data services)

1.3 Acceptance

Before using the Platform services, you shall carefully read and fully understand all contents of these Terms. By registering, logging in, or using the Platform services, you indicate that you have read, understood, and agreed to be bound by all terms of these Terms. If you do not agree to any term of these Terms, please stop using the Platform services immediately.


2. Platform Nature and Service Model

2.1 Platform Positioning

AI-LABA is an AI-native "pay-for-results" task marketplace platform that provides information technology services for task publishing, supply-demand matching, process management, evidence storage, and settlement assistance.

The Platform is an information intermediary and technology service provider, not a contracting party, employer, or hiring entity for any task.

2.2 User Relationship Statement

  1. The Platform does not establish labor, service, or employment relationships with any Performer; no labor relationship is automatically created between Performers and Requesters by virtue of using the Platform.
  2. The object of Platform transactions is "scope-defined, verifiable, acceptable, and settleable business outcomes"; compensation is settled on a per-result basis and does not constitute wages or salary.
  3. The Platform provides AI-assisted capabilities (role co-pilot, task draft generation, quality inspection, summarization, recommendations, etc.) to improve service efficiency. However, key business decisions (pricing, publishing, awarding, payment, acceptance) must be confirmed by the user in person.

2.3 Four Participant Roles

A single individual may hold multiple roles simultaneously; role switching does not alter the obligations under these Terms.


3. Account and Registration

3.1 Registration Requirements

  1. You must possess full civil capacity.
  2. The registration information you provide must be true, accurate, complete, and valid.
  3. Enterprise users must complete enterprise verification before accessing enterprise-level features.

3.2 Progressive Verification Strategy

The Platform adopts an L0→L1→L2 progressive verification approach to lower the barrier to entry:

3.3 Account Security

  1. You shall properly safeguard your account, password, and verification information.
  2. Losses caused by your own reasons (leakage, lending, failure to update information, failure to address abnormal logins, etc.) shall be borne by you.
  3. If you discover any abnormality in your account, please contact Platform customer service immediately.
  4. The Platform reserves the right to suspend or cancel your account under the following circumstances:
    - Long-term inactivity (no login for over 12 months)
    - Violation of these Terms or Platform rules
    - Required by judicial or administrative organs in accordance with the law
    - Your voluntary application for cancellation

4. Task and Transaction Rules

4.1 Task Publishing

  1. Requesters shall ensure that published task descriptions are true, accurate, and complete, and shall not publish illegal or non-compliant content.
  2. Task publishing must be reviewed by the Platform; tasks that do not pass review shall not go live.
  3. Task publishing must clearly specify: delivery standards, acceptance criteria, compensation amount, and completion deadline.
  4. The Platform reserves the right to remove, throttle, or terminate the publication of non-compliant tasks.

4.2 Task Undertaking

  1. Performers shall undertake tasks only after understanding the task requirements and complete deliveries within the agreed standards and timeframes.
  2. Evidence (photos, audio recordings, videos, location check-ins, etc.) shall be submitted as required during task execution.
  3. Evidence materials shall be genuine and valid; forgery or tampering is strictly prohibited.

4.3 The 7-Step Closed Loop Process

4.4 Acceptance and Settlement

  1. Acceptance standards are defined by the Requester at the time of publishing; the Platform assists in verifying evidence and executing the acceptance process according to the predefined standards.
  2. Upon successful acceptance, the Platform releases escrowed funds to the Performer/Operator.
  3. If a task does not pass acceptance, it enters the remediation, review, or dispute resolution process.
  4. The Platform does not guarantee that any task will necessarily achieve specific business outcomes, nor does it warrant the quality of deliverables.

5. Fees and Payment

Specific rates are subject to Platform公示; the Platform may adjust rates with prior notice.

5.2 Payment Methods

  1. The Platform does not handle user funds directly; funds are held, transferred, and settled by licensed payment/split-account institutions.
  2. Payment channels include: WeChat Pay, Alipay, and other licensed institutions.
  3. The Platform does not collect bank card numbers, payment passwords, or other sensitive financial information.
  4. Withdrawals, fund allocation, invoicing, and tax processing are handled by licensed institutions and users directly.

5.3 Refunds and Disputes

  1. In the event of disputes arising from unsuccessful task acceptance, both parties shall first negotiate in good faith.
  2. If negotiation fails, the Platform shall make a ruling based on transaction records and evidence materials.
  3. The Platform reserves the right to suspend the settlement of relevant funds during dispute resolution.
  4. The Platform bears no guarantee responsibility for its rulings; the final right of interpretation belongs to the Platform.

6. User Code of Conduct

6.1 Prohibited Activities

You shall not use the Platform to engage in the following activities:

  1. Publishing false or illegal/non-compliant information (including but not limited to brushing orders, fake transactions, fraud, money laundering, pyramid selling, etc.).
  2. Infringing upon the intellectual property rights or personal information rights of others.
  3. Publishing illegal or harmful information (including but not limited to pornography, violence, terrorism, gambling, etc.).
  4. Malicious competitive behavior (including but not limited to malicious刷屏, malicious reviews, malicious order cancellations, etc.).
  5. Forging or tampering with task evidence (including but not limited to photo falsification, location cheating, data falsification, etc.).
  6. Organizing or participating in multi-level rebates or headcount-based compensation schemes.
  7. Unauthorized use of the Platform name, trademarks, or logos for commercial promotion.
  8. Using the Platform for illegal fundraising, pyramid selling, or other criminal activities.

6.2 Handling of Violations

The Platform reserves the right to take the following measures against violations:
- Warning
- Function restriction (e.g., restrict publishing, restrict undertaking)
- Settlement freeze
- Account suspension/ban
- Reporting to regulatory authorities

In serious cases, the Platform will cooperate with regulatory authorities in investigations in accordance with the law.


7. Referral Incentive Rules

7.1 Single-Tier Incentive Principle

  1. The Platform's talent referral incentive is single-tier and performance-based.
  2. Rewards are attributed to only one valid referral relationship and settled upon achievement of the agreed result milestone (e.g., interview, onboarding, retention, or project completion).
  3. The Platform prohibits multi-level rebates and headcount-based compensation through its rules and system structure.

7.2 Referral Attribution

  1. Referral relationships are uniquely attributed by the Platform system to prevent double attribution.
  2. Referrers must obtain explicit authorization from the referred party before making a referral.
  3. Referral rewards are automatically settled to the referrer's account upon achievement of the agreed result milestone.

8. AI Service Rules

8.1 AI Assistance Statement

  1. The Platform provides AI-assisted capabilities (role co-pilot, task draft generation, quality inspection, summarization, recommendations, etc.).
  2. AI-generated content is labeled and traceable in accordance with GB45438 and other generative content labeling requirements.
  3. AI output is for reference and assistance only; key actions (pricing, publishing, awarding, payment, acceptance conclusions) must be confirmed by a person.
  4. Users are responsible for their own confirmed actions; the Platform is not liable for errors in AI output.

8.2 AI Liability Boundaries

  1. The Platform does not guarantee that AI output is completely accurate, complete, or error-free.
  2. When using AI-generated content (e.g., job descriptions, task instructions), users shall verify the content independently.
  3. AI does not retain the original content of your tasks beyond the necessary period.
  4. Third-party AI collaborations within the Platform (e.g., Xiaolaba/WorkBuddy agents, authorized APIs, Feishu bots) are granted only the minimum necessary toolset; write operations require idempotency, audit trails, and human confirmation.

9. Intellectual Property

9.1 Platform Intellectual Property

  1. Intellectual property rights in the Platform and its products, names, trademarks, logos, interfaces, documentation, and software belong to the Platform operator and relevant rightsholders.
  2. No individual or entity may use trademarks, signs, or标识 identical or similar to the Platform's on the same or similar goods/services without permission.

9.2 User Content Intellectual Property

  1. Intellectual property rights in content published by users belong to the user or the respective rightsholder.
  2. Users grant the Platform a limited, revocable license necessary for providing services (including but not limited to display, dissemination, and promotion).
  3. Users shall ensure that their published content does not infringe upon the legitimate rights and interests of third parties.

10. Privacy and Data Security

  1. The Platform processes personal information in accordance with the Personal Information Protection Law of the People's Republic of China (PIPL).
  2. The Platform commits to: zero PII in logs and events, data stored within China, minimum necessary collection, and explicit consent.
  3. On-site evidence is desensitized at 100m distance bucket granularity; sensitive information such as faces and license plates is blurred first, then visible upon confirmation.

10.1 Introduction

AI-LABA (hereinafter referred to as "the Platform" or "we") respect and protect the privacy rights of every user. This Privacy Policy is designed to clearly explain how we collect, use, store, share, and protect your personal information, as well as the rights you are entitled to under applicable laws.

- We do not handle user funds directly; funds are held by licensed payment/settlement institutions

Special Processing

Sensitive Personal Information: We will separately obtain your consent before processing the following sensitive information:

- ID numbers, bank card numbers
- Trajectory/location information
- Personal information of minors under the age of fourteen

AI-Assisted Services: The platform\'s AI co-pilot service processes your task descriptions, execution records, and other information to generate drafts, recommend matches, and assist decision-making. AI does not retain the original content of your tasks beyond the necessary period.


10.4 How We Share, Transfer, and Disclose Your Personal Information

- The purpose for processing your personal information has been achieved, cannot be achieved, or is no longer necessary
- We have stopped providing services and no longer have a need to retain the information

11. Dispute Resolution

  1. The formation, validity, interpretation, and performance of these Terms are governed by the laws of the People's Republic of China.
  2. Disputes arising from these Terms or Platform services shall first be resolved through friendly negotiation between the parties.
  3. If negotiation fails, either party may file a lawsuit with the competent people's court in Shanghai.

12. Amendment of Terms

  1. The Platform reserves the right to amend these Terms from time to time based on business development and changes in laws and regulations.
  2. Amended Terms shall take effect upon publication on the Platform.
  3. Continued use of the Platform services after amendment constitutes acceptance of the amended Terms.
  4. If you do not agree to the amended Terms, you should stop using the Platform services.

13. Termination of Agreement

  1. You may apply to cancel your account at any time; upon cancellation, the Platform will cease to provide services to you.
  2. The Platform reserves the right to terminate these Terms under the following circumstances:
    - You have materially breached these Terms or Platform rules
    - Required by laws and regulations
    - Required by judicial or administrative organs in accordance with the law
  3. Upon termination of the agreement, your obligations under these Terms remain in effect, including but not limited to confidentiality obligations and intellectual property ownership.
